1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of CharityGrantWriter ("the Service"). By accessing or using the Service, you agree to be bound by these Terms. If you're using the Service on behalf of a nonprofit organization, you represent that you have authority to bind that organization.

2. What the Service Does

CharityGrantWriter provides:

• Smart matching of your nonprofit profile against a curated database of grant opportunities in the US, Canada, and UK.
• First-draft grant proposal content generated by CharityGrantWriter based on your organization's information and the funder's requirements.
• Grant deadline tracking and email reminders.
• A free tier (1 proposal) and a paid Pro subscription for unlimited proposal generation.

3. Eligibility

You must be at least 18 years old and have authority to use the Service on behalf of your organization. The Service is intended for nonprofit and charitable organizations. Use by for-profit entities for commercial grant applications is not permitted without prior written consent.

4. Your Account

If you create an account:

• You are responsible for keeping your credentials secure.
• You must provide accurate information about yourself and your organization.
• You are responsible for all activity under your account.
• Notify us immediately at hello@charitygrantwriter.com if you suspect unauthorized access.

5. Acceptable Use

You agree not to:

• Use the Service to generate fraudulent or misleading grant applications.
• Submit false information about your organization, budget, or programs.
• Attempt to scrape, reverse-engineer, or copy the grant database for resale or redistribution.
• Use automated tools to create accounts or submit applications at scale.
• Violate any applicable law, including anti-fraud statutes related to grant applications.
• Attempt to circumvent security measures or access other users' data.

6. AI-Generated Content

Proposals generated by CharityGrantWriter are starting points, not finished submissions. You acknowledge:

• AI-generated content may contain inaccuracies, omissions, or content not appropriate for every funder.
• You must review and edit all generated content before submission.
• Submission of a grant application is solely your responsibility.
• CharityGrantWriter does not guarantee that any proposal will result in a grant award.

You own the grant proposals generated for your organization and may use them freely.

7. Grant Database Accuracy

We maintain a curated database of grant opportunities, but:

• Grant deadlines, eligibility requirements, and funding amounts may change without notice.
• We do not guarantee the completeness or accuracy of grant listings.
• Always verify grant details directly with the funder before submitting.

8. Intellectual Property

Your content: You retain all rights to information you provide about your organization. You grant us a limited license to use your content to provide the Service.

Our content: CharityGrantWriter's software, design, grant database curation, and matching algorithms are our intellectual property. You may not copy, distribute, or create derivative works without written permission.

9. Pricing & Payments

CharityGrantWriter offers a free tier (1 generated proposal) and a paid Pro subscription for unlimited access. If you subscribe:

Billing:

• Payments are processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring monthly basis.
• Your subscription begins on the date of purchase. You will be charged the then-current monthly price on the same date each month.
• We will email you a receipt after each successful payment.

Auto-Renewal:

• Subscriptions auto-renew monthly unless you cancel before your next renewal date.
• We'll send a reminder email before each renewal. No surprises.

Cancellation:

• You may cancel at any time by emailing support@charitygrantwriter.com.
• Cancellation takes effect at the end of your current billing period. You retain Pro access until then.
• No partial-month refunds unless required by applicable law.

Refunds:

• If you believe a charge was made in error, contact us within 14 days of the charge at support@charitygrantwriter.com.
• Refunds are evaluated case-by-case. We'll always aim to be fair.
• For EEA/UK users: you have a 14-day right of withdrawal for digital services from the date of purchase, unless you've already used the service (e.g., generated a proposal). By using Pro features immediately after subscribing, you acknowledge and agree that your right of withdrawal is waived for services already delivered.

Price Changes:

• We reserve the right to change subscription pricing. We'll notify you at least 30 days in advance via email.
• Continued use after the effective date constitutes acceptance of the new price.
• Founding Partners who locked in a discounted rate are exempt from general price increases for as long as their subscription remains active and uninterrupted.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

11. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that:

• The Service will be uninterrupted or error-free.
• Grant matches will be exhaustive or perfectly suited to your organization.
• AI-generated proposals will meet any particular funder's standards.

12. Limitation of Liability

To the maximum extent permitted by law, CharityGrantWriter's liability for any claim arising from use of the Service is limited to the amount you paid in the 12 months preceding the claim (or $50 if you are a free user). We are not liable for indirect, incidental, or consequential damages, including lost grants or funding opportunities.

13. Indemnification

You agree to indemnify and hold harmless CharityGrantWriter from any claims, losses, or damages arising from: your use of the Service, your violation of these Terms, or any fraudulent or false information you provided.

14. Termination

We may suspend or terminate your access to the Service if you violate these Terms, particularly the Acceptable Use policy. You may close your account at any time by contacting us. On termination, your data is handled per our Privacy Policy.

15. Changes to These Terms

We may update these Terms as the Service evolves. We'll notify you of material changes via email (if you have an account) and by updating the "Last updated" date. Continued use after notice constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved through binding arbitration under the American Arbitration Association rules, except that either party may seek injunctive relief in court for IP violations.
